1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your use of our website https://dialoguedb.com and any services provided by DialogueDB (“DialogueDB,” “we,” “our,” or “us”). By accessing or using the Site or our Services, you agree to be bound by these Terms.
2. Use of Site Content and Intellectual Property
All Site Content, code, and trademarks are the exclusive property of DialogueDB. You may use the Site Content for personal or internal business use only. You agree not to copy, reverse engineer, or redistribute our materials without prior written consent.
3. Account, Acceptable Use, and Security
3.1 Account Security: You are responsible for maintaining the security of your account credentials and notifying us immediately of any actual or suspected unauthorized access.
3.2 Prohibited Activities: You may not use the Services for any illegal activities, infringe intellectual property rights, or transmit malicious code.
3.3 Service Suspension: DialogueDB may suspend or terminate your access immediately if we reasonably believe your account poses a security risk, technical threat to the platform, or violates these Terms, with notice when feasible.
4. Data Ownership, Privacy, and Termination
4.1 Customer Data Ownership: You retain ownership of all data you store using our Services (“Customer Data”). You grant us the necessary rights to store, process, and transmit this data solely to provide the Services.
4.2 Privacy Policy: Our use of personal information is governed by our separate Privacy Policy, which is incorporated by reference into these Terms.
4.3 Data Retrieval and Deletion: Upon account termination, your right to use the Services ceases. We will allow the account owner a period of thirty (30) calendar days from the termination date to retrieve their Customer Data, after which DialogueDB may permanently delete all associated Customer Data without further liability.
5. Fees, Service Plans, and Pricing
5.1 Service Plans and Right to Modify: DialogueDB offers various service plans, including paid subscriptions and free access plans (“Free Plan”). DialogueDB reserves the absolute right to modify, limit, or terminate the availability of any Free Plan at any time, without prior notice or liability.
5.2 Resource Limits: Use of the Free Plan is subject to our fair use policy and resource limits. DialogueDB reserves the right to suspend or terminate access if usage is excessive or harmful to the platform.
5.3 Pricing Changes for Paid Users: DialogueDB reserves the right to change fees for new subscriptions at any time. If you are currently paying, your fees will not change until your current billing cycle renews.
5.4 Existing Free Users: If a Free Plan transitions to a paid model, existing users will not be charged retroactively for prior usage. Continued use after the pricing change may require migration to a paid subscription.
6. Disclaimers and Limitation of Liability
6.1 NO WARRANTIES: The Services are provided “AS IS,” “AS AVAILABLE,” without warranties of any kind. DialogueDB makes no warranty regarding uninterrupted access or service availability.
6.2 LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIALOGUEDB SHALL NOT BE LIABLE FOR ANY (i) CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES; (ii) LOSS OF DATA; or (iii) LOST PROFITS arising from your use of the Services.
6.3 LIABILITY CAP: DialogueDB’s total liability for any claim shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
7. Dispute Resolution and Governing Law
7.1 Governing Law and Jurisdiction: These Terms are governed by the laws of the State of Texas. Any legal suit, action, or proceeding shall be instituted exclusively in the courts located in Dallas, Texas.
7.2 Dispute Resolution (Binding Arbitration): Any dispute, controversy, or claim shall be resolved exclusively by binding arbitration, except for claims related to the enforcement of intellectual property rights. You agree to waive any right to participate in a class-action lawsuit against DialogueDB.
8. General Provisions
We may update these Terms and the pricing structure at any time by posting updated versions on the Site. By continuing to use the service after the changes are posted, you agree to the revised Terms.
